General Terms and Conditions

  1. GENERAL CLAUSE

Our sales are submitted to our general terms and conditions applicable on all purchase conditions, except formal derogation and written agreement from ourselves.

  1. CONFIDENTIALITY

All drawings, surveys, schemes and documents given or sent by Normalab France SAS cannot be shared to anyone for any reason by the buyer.

  1. FORMATION OF THE CONTRACT

The contract is regarded as concluded after written confirmation from Normalab France S.A.S. All addenda will be made in writing.

  1. SHIPMENT

Except where otherwise clearly indicated, delivery is done by the forwarder chosen by Normalab France S.A.S.  Partial shipments on customer’s request will be charged.

Goods must be unpacked in the presence of the carrier and all damage or missing items, must be notified on delivery note, must be confirmed in writing by registered letter to the carrier in 72 hours, as well as written information to Normalab France.

However, Normalab insures its shipments on behalf of its customers against usual transport risks. Delivery time is indicated from our works and starts from the order acknowledgment. However, in case of late delivery, Normalab will make all effort to inform the customer and will not bear any late penalty unless special agreement stipulated in the order and accepted by Normalab.

  1. RESERVATION OF OWNERSHIP

Normalab France S.A.S. keeps the property of the goods sold up to effective payment of entire amount.  Failure to pay within any of the periods for due payment may result in the goods being claimed back.

Except otherwise clearly indicated, the right of use and risk of loss or deterioration are transferred to the buyer when the goods leave the supply factory.

  1. PRICES – PAYMENT TERMS – PENALTIES

All prices are exclusive of VAT. If the delivery contract stipulates the carriage of goods, transport charges will be invoiced separately.

For a contract in Metropolitan France amounting less than 150€, an extra cost of 50€ will be applied as administrative fees. For a contract with overseas territories, the minimum amount is of 250€.

Unless otherwise stated, the invoice will be payable at 30 days net from invoice date.

For any opening of account, the Customer will have to provide his SIRET & VAT numbers.  First order is payable when ordering.

Failure to pay an invoice by the required date and as per law 2008-776 from August the 04th 2008, the Buyer will be legally liable for a penalty for late payment, calculated by applying the full amount due to an interest rate equal to 3 times the legal interest rate.

  1. WARRANTY

The guarantee period is 12 months from shipping date. The warranty period of all Normalab range products is extended to 2 year if you send back the warranty activation form and Quality deviation report, after installation.

The goods sold (except glassware & consumables) are guaranteed to be free of any operating fault due to defective material, manufacturing or design subject to the following conditions.  The guarantee is excluded:

  • If the defects in materials or design are attributable to the Buyer
  • If the damage is caused by an intervention on the goods without authorization
  • If the damage comes from normal wear of the good, or through negligence, or a lack of maintenance from the buyer.
  • If the defect results from force majeure circumstances.

No goods should be sent back without a prior agreement of the seller. Any return of equipment from the buyer shall be subject to a return authorization.

Warranty terms are “returned to our workshops”.  Under this guarantee, the seller will replace the defective parts by his technical staff. This warranty covers labour cost too, and the shipment back of the good to the buyer. In case of on-site assistance under warranty, travel is not included and will be invoiced.

In case of repair of equipment after warranty period, the new parts, except consumables, are guaranteed 3 months, labour cost included. This warranty cannot be extended to any other failure and only concerned the replacement parts.

Finally, Normalab undertakes to provide the necessary spare parts for repair of their products for a period of 5 years after date of sale of the equipment.

  1. settlement of disputes

Failing amicable agreement, any dispute relating to the interpretation and performance hereof, shall be governed by Commercial Court of Rouen.
